Legal Terms & Website Disclaimer
Legal Terms
Last updated: August 2026
These terms set out the general legal provisions governing the use of the T-DEX1 U.S. Business Launch & Management website and the information and services offered on it.
By using the website or submitting a form through it, the user acknowledges that they have reviewed these terms and understood the nature of the website and the services offered through it.
About T-DEX1
T-DEX1 LLC is a U.S. limited liability company registered in the State of Wyoming, United States of America. This website provides information about advisory and execution services relating to assessing the readiness of founders and companies, forming or reactivating U.S. companies, and organizing certain operational and institutional aspects related thereto.
Information Published on the Website
The content of the website is provided for general informational purposes and to explain T-DEX1's services. No content published on the website constitutes specialized legal, tax, or accounting advice, immigration advice, an investment or financial recommendation, or a guarantee of any particular outcome. Use of the website does not create an attorney-client relationship or any similar licensed professional relationship.
Consultation Request
Submitting a consultation request form does not mean T-DEX1 has accepted the client, does not create a contract, and does not create a payment obligation. T-DEX1 first conducts an initial review of the information provided. If the case appears to be a preliminary fit, a separate consultation agreement setting out the scope of the service, fees, and detailed terms may be sent. The service does not begin, and fees do not become due, except in accordance with the procedures and the agreement approved between the parties.
Signed Agreements Take Precedence
Any paid consultation or service provided by T-DEX1 is governed by the written, signed agreement for that service. In the event of any conflict between the general information published on the website and the provisions of a signed agreement with the client, the signed agreement shall govern the contractual relationship.
Pricing
The prices published on the website are the current prices for the specified services at the time they are displayed, unless otherwise stated. T-DEX1 may adjust prices or service scopes in the future. No price becomes binding until confirmed in the client's agreement, proposal, or invoice. Fees charged by third parties, government agencies, or service providers may be separate from T-DEX1's fees, as set out in the description of each service or in its agreement.
No Guarantee of Results
T-DEX1 provides its services to a reasonable professional standard, but it does not control the decisions of government agencies, banks, service providers, financial institutions, or other independent third parties. Accordingly, T-DEX1 does not guarantee company formation in all cases, issuance of an Employer Identification Number (EIN) within a specific period, opening of a bank account, obtaining financing or credit, acceptance of payment services, obtaining an SSN or ITIN, obtaining a U.S. visa, entry into or residence or work authorization in the United States, any particular tax treatment or exemption, or acceptance of any third-party provider or entity for the client. Owning a U.S. company does not automatically grant any of the rights or outcomes mentioned above.
Visas and Immigration
Services for forming or reactivating U.S. companies are entirely independent of U.S. immigration and visa procedures. Forming or owning a U.S. company does not grant the client a visa, residency, or the right to enter or work in the United States. T-DEX1 does not provide immigration law services under the services described on this website.
Specialized Legal and Tax Services
T-DEX1 is not a law firm or a certified public accounting firm. Where a client's case requires an opinion or action that must be performed by an attorney, CPA, EA, or other licensed professional, T-DEX1 may coordinate with the appropriate professional under a separate agreement and scope.
User Responsibility for Information
All information provided by the user must be true, complete, and accurate. It is prohibited to use the website or T-DEX1's services to provide false information, conceal the true owner, or circumvent laws, sanctions, or regulatory restrictions. T-DEX1 may refuse or suspend any request if a compliance issue, legal risk, or materially incorrect or incomplete information arises.
Compliance and Sanctions
As a U.S. company, T-DEX1 may conduct reasonable, risk-based compliance reviews when necessary, including verifying individuals, entities, or activities under applicable U.S. laws, restrictions, and sanctions. A compliance issue, sanctions matter, or inability to complete verification may result in the refusal, suspension, or termination of the service in accordance with the applicable agreement.
Third-Party Services and Websites
T-DEX1 may use independent service providers, platforms, or entities to perform parts of the service. Each such entity has its own terms, policies, and acceptance requirements, and T-DEX1 is not responsible for the decisions of those independent parties or for any change in or rejection under their policies.
Intellectual Property
All rights in the content, design, trademarks, text, methodologies, and original elements found on the website are owned by T-DEX1 or used with appropriate permission. No substantial part of them may be copied, republished, resold, or commercially exploited without prior written consent.
Prohibited Use
- Violates the law.
- Attempts unauthorized access to systems.
- Contains false or misleading information.
- Infringes the rights of T-DEX1 or others.
- Attempts to disrupt or misuse the website.
- Uses T-DEX1's services to conceal unlawful ownership or activity.
- Uses the services to circumvent sanctions, regulatory restrictions, or verification requirements.
Cancellation and Refund Policy
- General rule: Unless a written, signed agreement with the client states otherwise, fees and amounts paid to T-DEX1 for professional, advisory, and execution services are non-refundable once performance of the service has begun.
- U.S. Business Readiness Consultation fees: These are for the assessment and consultation process itself, and not a guarantee that the client will be accepted for the formation or activation stage. Once T-DEX1 has begun performing the consultation work, the fees become non-refundable regardless of the outcome of the assessment.
- U.S. Company Formation and Launch Package: Once the client moves to the package and T-DEX1 begins performance, the fees paid for the package become, as a general rule, non-refundable, given that resources have begun to be allocated and work and procedures related to the client's case have begun.
- Exceptional refund: If, after performance has begun, a material impediment arises that was unknown and could not reasonably have been foreseen, that is outside the reasonable control of both T-DEX1 and the client, and that — despite reasonable efforts to address it — renders completion of company formation impossible, an exceptional refund equal to 30% of the net package fees paid to T-DEX1, after excluding any non-refundable third-party costs, may be applied.
- Cases where the exceptional refund does not apply: Where the inability to perform results directly or indirectly from incorrect or incomplete information provided by the client, concealment of material information, submission of incorrect or invalid documents, failure to provide required documents or information in a timely manner, the client's failure to cooperate in verification or compliance procedures, the client's change of mind or decision after performance has begun, non-payment of required fees or costs, a prohibited or unacceptable business activity that was not properly disclosed, sanctions, restrictions, or compliance issues relating to the client, partners, or activity that were not disclosed, the client's breach of any material contractual obligation, or the client's request to stop the service or change course in a manner that makes performance impossible or unreasonable.
- Priority of the signed agreement: The final cancellation and refund terms for each service are governed by the signed agreement with the client. In the event of any discrepancy between the general information published on the website and a signed agreement, the signed agreement shall govern.
Limitation of Liability
To the maximum extent permitted by law, T-DEX1 is not liable for indirect or consequential losses arising from the use of, or reliance on, the general information found on the website without entering into an appropriate service agreement. Liability relating to any paid service is subject to the limitations of liability set out in the agreement for that service.
Availability of the Website
T-DEX1 strives to keep the website available and secure, but does not guarantee that it will be free from temporary interruption, errors, maintenance, or technical conditions beyond its control.
Governing Law
These terms are governed, to the extent permitted by law, by the laws of the State of Wyoming, United States of America, without prejudice to any mandatory rights that may not be excluded by law. Disputes relating to paid services are governed first by the terms of the signed agreement for that service.
Changes
T-DEX1 may update these terms when necessary. The updated version is published on the website with the last-updated date revised, and it becomes effective from its publication date unless otherwise stated.
